Terms of Use

  1. INTRODUCTION
    1. These Terms of Use  (“ToU“) govern the access to and use of Vind AI (the “Service“) made available to you on behalf of the legal entity (the “Customer“) which has entered into an agreement with Vind Technologies AS (“Vind“) concerning the provisioning of the Service.
    2. These ToU form an integral part of the agreement entered into between Vind and the Customer, and you accept the ToU on behalf of the Customer.
    3. Your access to and use of the Service is conditioned on your acceptance of and compliance with these ToU . If you access the Service after having been presented with this ToU, you are deemed to have accepted the ToU. Please read all of the following terms and conditions before accessing the Service. 

  2. YOUR USE OF THE SERVICE
    1. You may not (and may not permit anyone else to), directly or indirectly: 
  1. alter, modify, translate, copy, reproduce or create or prepare derivative works of the Service, or any parts thereof;
  2. decompile, disassemble, translate, or otherwise reverse engineer the Service or any parts thereof;
  3. allow unauthorized persons to access or use your access to the Service;
  4. assign or transfer the Service license, or an interest therein, to another individual or entity without Vind’s written consent;
  5. attempt to gain unauthorized access to any portion or feature of the Service; 
  6. transmit any harmful materials to the Service;
  7. interfere with or disrupt the integrity of the Service or data;
  8. interfere with another user’s use of the Service; or
  9. use the Service in any manner, including by uploading material and data, that violates Vind’s or any third party Intellectual Property Rights
  10. use the Service: (i) in a manner that violates any local, national, foreign or international law; (ii) to interfere with or disrupt the Service; or (iii) in a version that has been superseded, and is no longer supported by Vind.
  11. You are solely responsible for protecting your own account password and account information. You shall keep accounts and authentication credentials providing access to the Service secure and confidential. You must notify Vind without undue delay about any misuse of your account or authentication credentials or of any security incident you become aware of.
  1. MONITORING
    1. Vind reserves the right to verify compliance with the terms of the ToU through reasonable audits, monitoring and other appropriate technical measures. You acknowledge that Vind may, from time to time monitor and investigate any violations of the terms set out in this ToU or misuse of the Service; and monitor, investigate and help prevent security threats, fraud, or other illegal, malicious, or inappropriate activity. 
    2. Vind may remove, disable access to, or modify any material that Vind believes violates the ToU. 

  2. VIND’S INTELLECTUAL PROPERTY RIGHTS AND THIRD PARTY RIGHTS
    1. For the avoidance of doubt, you acknowledge that any and all intellectual property rights, including all inventions, patents, circuit designs, copyright, trade secrets, know-how, brand names, trademarks and any other industrial and/or intellectual property rights (“Intellectual Property Rights“) to the Service, or technology required to provide the Services, data, documentation or other materials provided by Vind, and any updates, amendments, modifications, changes, improvements and further development and derivatives thereof, shall be the sole and exclusive property of Vind or its licensors (as applicable). 
    2. The Service may contain or rely on third party Intellectual Property Rights such as open source licensed software components or data. You shall not hold Vind responsible, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such third party Intellectual Property Rights. 
    3. You agree to comply with any applicable third party terms that have been made available to you when using the Service.
    4. If a third party asserts to you that the Service infringes any third party Intellectual Property Rights, then you agree to inform Vind in writing as soon as possible. 

  3. UPDATES OF THE TERMS OF USE 
    1. Vind may make any updates to the ToU deemed necessary and/or appropriate by Vind. Updates with adverse effects to you may trigger a requirement for you to renew your acceptance. Any changes and requests to renew acceptance (if any, and as applicable) will be presented to you upon your subsequent login to your user account.

  4. PERSONAL DATA
    1. In order to provide you access to the Service, Vind may process certain personal data concerning you. Information on how Vind processes personal data may be found in Vind’s privacy policy, available at https://vind.ai/privacy/.

  5. TERM, TERMINATION AND SUSPENSION 
    1. The ToU will remain in force for as long as you have access to the Service. 
    2. Vind may, at any time, suspend or terminate your access to the Service with immediate effect, if: (a) you have breached any provision of this ToU; (b) Vind is required to do so by law; or (c) if the agreement with the Customer, and the subscription term pursuant thereto, has been terminated or is otherwise expired.

  6. GOVERNING LAW AND DISPUTE RESOLUTION 
    1. This ToU is governed by the laws of Norway.  Any dispute, controversy or claim arising out of or in connection with this ToU, or the breach or invalidity thereof, if not settled by negotiations or abandoned, shall be finally settled by the courts Norway, with Oslo District Court as legal venue.
